Terms and Conditions
	Sectorlink Affiliate Program Terms of Service 1) Term of the Agreements: The term of this Agreement will begin upon our acceptance of your Affiliate application and will end when terminated by either party. 1.1) Mediation: Any problems or discrepancies over due commissions will be dealt with within 14 days of the first email notification to Sectorlink. All such matters will be handled by the Sectorlink billing. Queries may be raised via email to billing@sectorlink.com. 1.2) Tracking: Visitors are tracked using the Sectorlink affiliate system. Sectorlink utilizes a cookie system that is set at 30 days. 1.3) Reporting: Affiliates will be able to access sales through their affiliate administration control panel. Access details will be supplied upon acceptance of your application. Statistics are available subject to server performance in real time providing banner impressions, click thrus, sales, and commissions due. Historical data of past performance is also available. 1.4) International Affiliates: International affiliates are welcome to join the Sectorlink affiliate program. The only way International affiliates may receive commission is through PayPal. 1.5) Sectorlink customers and resellers: Sectorlink customers may signup for the affiliate program. Sectorlink customers may not include their own domains in to the affiliate program nor refer themselves. Sectorlink resellers may not take advantage of the Sectorlink affiliate program. Once an account has been setup via an affiliate link, the account may not be transferred to an existing reseller account. 1.6) Unsolicited Email:. Use of unsolicited email/spam to promote the Sectorlink Affiliate Program or Sectorlink services is ground for immediate termination. 1.7) Fraud: Transmission of any fraudulent personal information or data in violation of any applicable laws or regulations is ground for immediate termination. Click through fraud will result in immediate affiliate termination and forfeit of all monies owed to affiliate. 1.8) Termination of Agreement: Sectorlink reserves the right to terminate this Agreement and your right to use or receive any services or benefits including residuals relating to the Sectorlink program immediately if you breach any potion of this Agreement at Sectorlink's sole discretion effective immediately after sending written or email notice to you at the last address that you provide to Sectorlink. 2) Commission Payments 2.1) Pay Per Sale : Sectorlink will pay on a one time basis $55 for each new account after 30 days that an affiliate sale is active. New accounts may not be paid for by the affiliate. Affiliates that refer themselves will not receive a referral credit. Payments will be made on the last day of every month via Paypal (Verified Paypal Member Only) using the Paypal email address supplied in your affiliate administrator control panel. It is the affiliate's responsibility for your own tax liabilities in relation to this payment. It is the affiliate’s responsibility to maintain accurate contact information. Failure to do so will forfeit payment to affiliate and affiliate deletion. Commission payments are only paid on Web Hosting Gold Basic and higher, Dedicated and Virtual Server sales. 3) Modification: Sectorlink may modify any of the terms and conditions contained in this Agreement, at any time. Any changes or modifications made will be in good faith. The agreement will not be altered to purposely avoid paying affiliates due commissions. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE. 4) Limitation of Liability: IN NO INSTANCE SHALL SECTORLINK BE LIABLE TO YOU FOR LOST PROFITS OR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL OR INDIRECT DAMAGES, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY (INCLUDING WITHOUT LIMITATION, NEGLIGENCE), ARISING OUT OF OR RELATED TO THIS AGREEMENT WHETHER OR NOT SECTORLINK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU ACKNOWLEDGE THAT COMMISSIONS AGREED UPON IN THIS AFFILIATE AGREEMENT ARE BASED IN PART UPON THESE LIMITATIONS, AND THAT THESE LIMITATIONS WILL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY REMEDY. 5) Independent Investigation: YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE SECTORLINK AFFILIATE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT. 6) Arbitration; Governing Law : If any controversy or dispute arises in connection with this Agreement, such controversy or dispute shall first be presented for resolution by Sectorlink and you. If no resolution is reached within 14 days thereafter, then such controversy or dispute shall be resolved by binding arbitration in Clarkston, Michigan, under the then-current rules of commercial arbitration of the American Arbitration Association. Each party shall select an arbitrator with expertise in computer law and the Internet, and these two arbitrators shall select the third arbitrator with such expertise. The validity, terms, performance and enforcement of this Agreement shall be governed and construed by its provisions and in accordance with the laws of the State of Michigan (without regard to conflicts of laws principles).
